Marketplace Agreement

Please carefully read this Plugin Marketplace Agreement (hereinafter referred to as "this Agreement"). This Agreement governs your submission and distribution of plugins as a developer through the Dify Plugin Marketplace and sets forth the licenses you grant to LangGenius, Inc., as well as the parties' respective rights and obligations.

LangGenius, Inc. is a Delaware corporation. In this Agreement, "Dify.AI," "Dify," and "we" refer to LangGenius, Inc. "You" or "Your" refers to you or the entity on whose behalf you accept this Agreement. You represent and warrant that: (i) you have the full legal authority to bind your employer or such entity to this Agreement; (ii) you have read and understood this Agreement; and (iii) you agree to this Agreement on behalf of such employer or entity.

By downloading, installing, accessing, or otherwise using the Plugin Marketplace, you represent and warrant that you have read, understood, and agree to be bound by all terms of this Agreement. If you do not agree to any term of this Agreement, you may not access or use the Plugin Marketplace.

In the event of any inconsistency or conflict between this Agreement and the Dify Service Terms (https://dify.ai/terms), this Agreement shall control with respect to the use of Plugins (including plugin licensing and distribution management).

1. Definitions

Dify: Means the open-source platform managed by LangGenius, Inc. for developing LLM-driven AI applications.

Dify Plugin Marketplace: Means the plugin platform operated by LangGenius, Inc. for sharing and deploying plugins designed to enhance the functionality of Dify Apps.

Dify.AI: Means the SaaS software developed by LangGenius, Inc.

Developer: Means an individual or entity who uses the Dify Plugin Marketplace to create, submit, manage, and distribute plugins.

End User: Means an individual or entity who installs and uses plugins listed on the Dify Plugin Marketplace.

User Data: Means any data provided, generated, or collected through plugins by the End User, including, without limitation, personal information, configuration data, usage logs, and generated content.

Intellectual Property: Means any patents, copyrights, trade secrets, trademarks, or other intellectual property rights included in or related to LangGenius, Inc.'s technology.

Confidential Information: Means any non-public information disclosed by one party (the "Disclosing Party") to the other party (the "Receiving Party") that is marked as "Confidential" or that reasonably should be understood to be confidential given the circumstances of disclosure.

Dify Brand Features: Means Dify's trade names, trademarks, service marks, logos, domain names, and other distinctive brand features.

Developer Content: Means all content submitted by Developers through the Plugin Marketplace, including the plugin itself, plugin name, description, icon, screenshots, documentation, privacy policy links, and Developer brand features.

2. Plugin Submission, Review, and Listing

2.1 Submission: You may submit your plugin for listing on the Plugin Marketplace. Specific plugin requirements are set forth in the Dify Marketplace Plugin Development Guidelines.

2.2 Review: Dify reserves the right to review or elect not to review any submitted plugins to determine compliance with Dify's standards and policies. Review may include functional testing, security scanning, code review, and other similar activities. Dify does not guarantee that any plugin will pass review or be listed.

2.3 Listing and Delisting: Dify may, in its sole discretion based on its policies or operational considerations, decide whether to permit a plugin to be listed, recommended, suspended, or removed.

3. Plugin Ownership and License

3.1 Plugin Ownership: Plugin ownership in the Dify Plugin Marketplace is categorized by source as follows: (a) Official Dify Plugins. (b) Community Contributor Plugins. (c) Plugin Partner Plugins. Unless otherwise agreed in writing, intellectual property rights in Community Contributor Plugins and Plugin Partner Plugins shall vest in the Developer; ownership of Official Dify Plugins shall vest in Dify.

3.2 License Granted to Dify: For plugins submitted by Community Contributors and Plugin Partners, you, as a Developer, upon submission of the plugin, hereby grant to Dify a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license. This license permits Dify to host, copy, distribute, publicly display, publicly perform, promote, market, recommend, run, test, and make necessary format adjustments or modifications to your plugin for operating and improving the Dify platform and Plugin Marketplace, ensuring compatibility and security.

4. Plugin Usage Scope and Commercialization

4.1 Usage Scope

(a) Dify's Distribution and Promotion: Dify shall utilize the license granted in Section 3.2 to promote, display, and distribute all plugins that meet the listing standards to End Users through the Dify Plugin Marketplace.

(b) End User Usage: End Users may install and use plugins obtained through the Plugin Marketplace through any version of the Dify platform (including the Community Edition and Enterprise Edition). Such usage may include personal learning, research, internal business operations, production environment deployment, or other commercial purposes, subject to any specific End User License Agreement (EULA) provided by the plugin owner and Dify's Service Terms.

(c) Dify's Commercial Integration: Dify may include your plugin (specifically plugins from Community Contributors and Plugin Partners, unless otherwise agreed) as part of the overall commercial products, solutions, or services provided by Dify, and may charge End Users for such overall product or service.

4.2 Commercialization Restrictions

(a) Current Model: The Dify Plugin Marketplace currently permits only the listing of Free Plugins. All plugins listed in the marketplace shall be made available to End Users free of charge for download and use of their core functionalities.

(b) Prohibited Conduct: You shall not include in any plugin any form of paid purchase process or subscription unlock function, or force or induce users to navigate to external links for payment in order to use the core functions of the plugin.

(c) Association with External Paid Services: If your plugin requires external paid services provided by you or other third parties to fully function, you must clearly, accurately, and prominently disclose this dependency and related potential fees in the plugin description. Notwithstanding the foregoing, the plugin's core functions or basic integration provided through the Dify Plugin Marketplace shall nonetheless be provided free of charge.

(d) Future Policy: Concerning whether the Dify Plugin Marketplace will support commercialized plugins (such as paid plugins, subscription models, etc.) and related charging models in the future, Dify reserves the right to formulate and publish relevant policies. Separate notice will be provided through official channels at that time.

5. Developer Obligations

Developers shall comply with the following obligations during their use of the platform:

5.1 Compliance and Policy Adherence: Comply with all applicable laws and regulations and Dify's published platform agreements and development guidelines.

5.2 Information Accuracy and Transparency: Ensure that information submitted to Dify and publicly displayed is true, accurate, and complete, including, without limitation, plugin descriptions, function permissions, external dependencies, fee descriptions, and developer contact information.

5.3 Plugin Quality and Security Assurance: Be fully responsible for the functionality, stability, security, and updates and maintenance of the plugin. The plugin shall not contain viruses, malicious code, backdoors, or other content that may harm the platform or users.

5.4 Respect for Third-Party Rights: Ensure that the plugin and submitted content do not infringe any intellectual property rights or legal rights of any third party, including, without limitation, copyrights, trademarks, privacy rights, and data protection obligations.

5.5 Platform Security and Integrity Use: Shall not in any form damage platform functions, circumvent technical restrictions, interfere with platform operation, or engage in fraudulent, abusive, or deceptive behavior.

5.6 Account and Permission Management: Safeguard developer accounts and API credentials and assume full responsibility for all actions occurring under the account.

5.7 User Support Obligation: Be responsible for providing reasonable support to End Users related to the plugin, including responding to inquiries, handling issues, and maintaining services. If providing an End User License Agreement (EULA), ensure it is clear and legally compliant.

5.8 Cooperation and Rectification: If Dify requests information or cooperation regarding an investigation into plugin compliance, security, or user complaints, the Developer shall cooperate in providing information and implementing corrective actions within a reasonable period.

6. Privacy and Data Security

6.1 Developer Obligations and Information Disclosure Data Collection

(a) Statement: Upon submitting a plugin to the Dify Plugin Marketplace, Developers must clearly state whether their plugin collects any user personal data.

(b) Types of Data Collected: If the plugin collects user personal data, Developers shall concisely list the types of data collected upon submission, such as: username, email, device ID, location information, etc.

(c) Privacy Policy Link: Developers must provide an accessible privacy policy link. This privacy policy shall clearly set forth the following: (a) The user personal information collected by the plugin. (b) How the plugin uses the collected user personal information. (c) Which user personal information may be shared with or disclosed to third parties, including the names of such third parties and links to their respective privacy policies.

(d) Compliance Responsibility: Developers are responsible for and warrant that their plugin's data collection and processing practices fully comply with all applicable data protection laws and regulations, including, without limitation, GDPR. Developers shall bear all legal liabilities arising from any violation of relevant data protection laws and regulations.

6.2 Dify Plugin Marketplace Data Processing Statement

(a) The Dify Plugin Marketplace itself does not directly collect personal information of plugin users.

(b)To the extent that Dify.ai collects user personal information, it shall comply with its official privacy policy, available at: https://dify.ai/privacy.

7. Platform Rights Reserved and Intellectual Property

Dify reserves all rights, title, and interest in and to the platform itself, including any related intellectual property rights and trade secrets. Except for the rights expressly granted in this Agreement, no express or implied license or right to the platform is granted to Developers or any third party. Nothing in this Agreement shall be construed as conferring ownership or usage rights of Dify Brand Features or other intellectual property on Developers, unless otherwise authorized by Dify in writing.

8. Third-Party Software and Open Source Sample Code

When you use third-party software or open source sample code to develop plugins, you must comply with the terms of the applicable third-party licenses or open source licenses governing such software, and the terms of this Agreement shall not govern your use of such third-party or open source code.

9. Agreement Term and Termination

9.1 This Agreement shall become effective upon your first use of the Dify Plugin Marketplace and shall remain in effect until terminated by you or Dify in accordance with this Agreement. You may terminate this Agreement at any time by providing written notice to Dify and ceasing all access and use of the platform. Dify may terminate this Agreement at any time for any reason without liability arising from such termination, including, without limitation, your actual or suspected: (a) abuse or misuse of the platform; (b) violation of any term of this Agreement or related policies; (c) submission of content with significant security risks or legal risks; or (d) platform function adjustments, strategy changes, or business termination.

9.2 In the event of your violation of this Agreement, all your rights and licenses hereunder shall automatically and immediately terminate without further notice. Upon termination of this Agreement, you must immediately cease using the platform and destroy all documents, API access credentials, code copies, or other components related to the platform in your possession.

9.3 Sections 6 (Privacy and Data Security), 7 (Platform Rights Reserved and Intellectual Property), 10 (Disclaimer), and 11 (Governing Law) of this Agreement shall survive any termination of this Agreement.

10. Disclaimer

Plugins are independently created and maintained by Developers, and the Dify Plugin Marketplace serves solely as a distribution platform. Dify makes no express or implied warranties regarding the accuracy, security, legality, or availability of the plugins. If a plugin causes losses to End Users due to malfunctions, misleading behavior, data loss, infringement, or other causes, the Developer shall bear all responsibility. If a third party brings a claim alleging infringement of its rights (such as patent, trademark, copyright, privacy, or other legal rights), the Developer shall be solely responsible and shall indemnify, defend, and hold harmless Dify from and against any damages, claims, or expenses (including reasonable attorney fees) arising therefrom.

11. Governing Law

Any claims or disputes arising from or related to the use of the Plugin Marketplace or services shall be governed by the laws of the State of California, without regard to its conflict of laws principles. Any disputes arising under this Agreement shall be submitted to and exclusively resolved by the state or federal courts located in the Northern District of California.

12. Agreement Modification

Dify reserves the right to modify this Agreement at any time, including any policies, guidelines, or other documents referenced herein. Your continued use of any part of the Plugin Marketplace after modifications to the Agreement have been made will constitute your acceptance of the modified Agreement. If you do not agree to or cannot accept the revised content, your sole remedy is to immediately cease using the Plugin Marketplace.

Confidential Information: Means any non-public information disclosed by one party (the "Disclosing Party") to the other party (the "Receiving Party") that is marked as "Confidential" or that reasonably should be understood to be confidential given the circumstances of disclosure.

Dify Brand Features: Means Dify's trade names, trademarks, service marks, logos, domain names, and other distinctive brand features.

Developer Content: Means all content submitted by Developers through the Plugin Marketplace, including the plugin itself, plugin name, description, icon, screenshots, documentation, privacy policy links, and Developer brand features.

2. Plugin Submission, Review, and Listing

2.1 Submission: You may submit your plugin for listing on the Plugin Marketplace. Specific plugin requirements are set forth in the Dify Marketplace Plugin Development Guidelines.

2.2 Review: Dify reserves the right to review or elect not to review any submitted plugins to determine compliance with Dify's standards and policies. Review may include functional testing, security scanning, code review, and other similar activities. Dify does not guarantee that any plugin will pass review or be listed.

2.3 Listing and Delisting: Dify may, in its sole discretion based on its policies or operational considerations, decide whether to permit a plugin to be listed, recommended, suspended, or removed.

3. Plugin Ownership and License

3.1 Plugin Ownership: Plugin ownership in the Dify Plugin Marketplace is categorized by source as follows: (a) Official Dify Plugins. (b) Community Contributor Plugins. (c) Plugin Partner Plugins. Unless otherwise agreed in writing, intellectual property rights in Community Contributor Plugins and Plugin Partner Plugins shall vest in the Developer; ownership of Official Dify Plugins shall vest in Dify.

3.2 License Granted to Dify: For plugins submitted by Community Contributors and Plugin Partners, you, as a Developer, upon submission of the plugin, hereby grant to Dify a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license. This license permits Dify to host, copy, distribute, publicly display, publicly perform, promote, market, recommend, run, test, and make necessary format adjustments or modifications to your plugin for operating and improving the Dify platform and Plugin Marketplace, ensuring compatibility and security.

4. Plugin Usage Scope and Commercialization

4.1 Usage Scope

(a) Dify's Distribution and Promotion: Dify shall utilize the license granted in Section 3.2 to promote, display, and distribute all plugins that meet the listing standards to End Users through the Dify Plugin Marketplace.

(b) End User Usage: End Users may install and use plugins obtained through the Plugin Marketplace through any version of the Dify platform (including the Community Edition and Enterprise Edition). Such usage may include personal learning, research, internal business operations, production environment deployment, or other commercial purposes, subject to any specific End User License Agreement (EULA) provided by the plugin owner and Dify's Service Terms.

(c) Dify's Commercial Integration: Dify may include your plugin (specifically plugins from Community Contributors and Plugin Partners, unless otherwise agreed) as part of the overall commercial products, solutions, or services provided by Dify, and may charge End Users for such overall product or service.

4.2 Commercialization Restrictions

(a) Current Model: The Dify Plugin Marketplace currently permits only the listing of Free Plugins. All plugins listed in the marketplace shall be made available to End Users free of charge for download and use of their core functionalities.

(b) Prohibited Conduct: You shall not include in any plugin any form of paid purchase process or subscription unlock function, or force or induce users to navigate to external links for payment in order to use the core functions of the plugin.

(c) Association with External Paid Services: If your plugin requires external paid services provided by you or other third parties to fully function, you must clearly, accurately, and prominently disclose this dependency and related potential fees in the plugin description. Notwithstanding the foregoing, the plugin's core functions or basic integration provided through the Dify Plugin Marketplace shall nonetheless be provided free of charge.

(d) Future Policy: Concerning whether the Dify Plugin Marketplace will support commercialized plugins (such as paid plugins, subscription models, etc.) and related charging models in the future, Dify reserves the right to formulate and publish relevant policies. Separate notice will be provided through official channels at that time.

5. Developer Obligations

Developers shall comply with the following obligations during their use of the platform:

5.1 Compliance and Policy Adherence: Comply with all applicable laws and regulations and Dify's published platform agreements and development guidelines.

5.2 Information Accuracy and Transparency: Ensure that information submitted to Dify and publicly displayed is true, accurate, and complete, including, without limitation, plugin descriptions, function permissions, external dependencies, fee descriptions, and developer contact information.

5.3 Plugin Quality and Security Assurance: Be fully responsible for the functionality, stability, security, and updates and maintenance of the plugin. The plugin shall not contain viruses, malicious code, backdoors, or other content that may harm the platform or users.

5.4 Respect for Third-Party Rights: Ensure that the plugin and submitted content do not infringe any intellectual property rights or legal rights of any third party, including, without limitation, copyrights, trademarks, privacy rights, and data protection obligations.

5.5 Platform Security and Integrity Use: Shall not in any form damage platform functions, circumvent technical restrictions, interfere with platform operation, or engage in fraudulent, abusive, or deceptive behavior.

5.6 Account and Permission Management: Safeguard developer accounts and API credentials and assume full responsibility for all actions occurring under the account.

5.7 User Support Obligation: Be responsible for providing reasonable support to End Users related to the plugin, including responding to inquiries, handling issues, and maintaining services. If providing an End User License Agreement (EULA), ensure it is clear and legally compliant.

5.8 Cooperation and Rectification: If Dify requests information or cooperation regarding an investigation into plugin compliance, security, or user complaints, the Developer shall cooperate in providing information and implementing corrective actions within a reasonable period.

6. Privacy and Data Security

6.1 Developer Obligations and Information Disclosure Data Collection

(a) Statement: Upon submitting a plugin to the Dify Plugin Marketplace, Developers must clearly state whether their plugin collects any user personal data.

(b) Types of Data Collected: If the plugin collects user personal data, Developers shall concisely list the types of data collected upon submission, such as: username, email, device ID, location information, etc.

(c) Privacy Policy Link: Developers must provide an accessible privacy policy link. This privacy policy shall clearly set forth the following: (a) The user personal information collected by the plugin. (b) How the plugin uses the collected user personal information. (c) Which user personal information may be shared with or disclosed to third parties, including the names of such third parties and links to their respective privacy policies.

(d) Compliance Responsibility: Developers are responsible for and warrant that their plugin's data collection and processing practices fully comply with all applicable data protection laws and regulations, including, without limitation, GDPR. Developers shall bear all legal liabilities arising from any violation of relevant data protection laws and regulations.

6.2 Dify Plugin Marketplace Data Processing Statement

(a) The Dify Plugin Marketplace itself does not directly collect personal information of plugin users.

(b)To the extent that Dify.ai collects user personal information, it shall comply with its official privacy policy, available at: https://dify.ai/privacy.

7. Platform Rights Reserved and Intellectual Property

Dify reserves all rights, title, and interest in and to the platform itself, including any related intellectual property rights and trade secrets. Except for the rights expressly granted in this Agreement, no express or implied license or right to the platform is granted to Developers or any third party. Nothing in this Agreement shall be construed as conferring ownership or usage rights of Dify Brand Features or other intellectual property on Developers, unless otherwise authorized by Dify in writing.

8. Third-Party Software and Open Source Sample Code

When you use third-party software or open source sample code to develop plugins, you must comply with the terms of the applicable third-party licenses or open source licenses governing such software, and the terms of this Agreement shall not govern your use of such third-party or open source code.

9. Agreement Term and Termination

9.1 This Agreement shall become effective upon your first use of the Dify Plugin Marketplace and shall remain in effect until terminated by you or Dify in accordance with this Agreement. You may terminate this Agreement at any time by providing written notice to Dify and ceasing all access and use of the platform. Dify may terminate this Agreement at any time for any reason without liability arising from such termination, including, without limitation, your actual or suspected: (a) abuse or misuse of the platform; (b) violation of any term of this Agreement or related policies; (c) submission of content with significant security risks or legal risks; or (d) platform function adjustments, strategy changes, or business termination.

9.2 In the event of your violation of this Agreement, all your rights and licenses hereunder shall automatically and immediately terminate without further notice. Upon termination of this Agreement, you must immediately cease using the platform and destroy all documents, API access credentials, code copies, or other components related to the platform in your possession.

9.3 Sections 6 (Privacy and Data Security), 7 (Platform Rights Reserved and Intellectual Property), 10 (Disclaimer), and 11 (Governing Law) of this Agreement shall survive any termination of this Agreement.

10. Disclaimer

Plugins are independently created and maintained by Developers, and the Dify Plugin Marketplace serves solely as a distribution platform. Dify makes no express or implied warranties regarding the accuracy, security, legality, or availability of the plugins. If a plugin causes losses to End Users due to malfunctions, misleading behavior, data loss, infringement, or other causes, the Developer shall bear all responsibility. If a third party brings a claim alleging infringement of its rights (such as patent, trademark, copyright, privacy, or other legal rights), the Developer shall be solely responsible and shall indemnify, defend, and hold harmless Dify from and against any damages, claims, or expenses (including reasonable attorney fees) arising therefrom.

11. Governing Law

Any claims or disputes arising from or related to the use of the Plugin Marketplace or services shall be governed by the laws of the State of California, without regard to its conflict of laws principles. Any disputes arising under this Agreement shall be submitted to and exclusively resolved by the state or federal courts located in the Northern District of California.

12. Agreement Modification

Dify reserves the right to modify this Agreement at any time, including any policies, guidelines, or other documents referenced herein. Your continued use of any part of the Plugin Marketplace after modifications to the Agreement have been made will constitute your acceptance of the modified Agreement. If you do not agree to or cannot accept the revised content, your sole remedy is to immediately cease using the Plugin Marketplace.
